This Terms of Use Agreement sets forth the standards of use of the ARPIN INTERNATIONAL, INC., website. By using the www.arpinintl.com website (“Website”) you (the “User”) agree to these terms and conditions. If you do not agree to the terms and conditions of this Agreement, you should immediately cease all usage of this website. We reserve the right, at any time, to modify, alter, or update the terms and conditions of this Agreement without prior notice. Modifications shall become effective immediately upon being posted at the Website. Your continued use of the Website after amendments are posted constitutes an acknowledgement and acceptance of the Agreement and its modifications. Except as provided in this paragraph, this Agreement may not be amended.

1. Description of Website

ARPIN INTERNATIONAL is providing User with access to the website. User must provide (1) all equipment necessary for their own Internet connection, including computer and modem and (2) provide for User’s access to the Internet, and (3) pay any fees that relate to such connection, as applicable.

2. Disclaimer of Warranties

The Website is provided by ARPIN INTERNATIONAL on an “AS IS” and on an “AS AVAILABLE” basis. To the fullest extent permitted by applicable law, ARPIN INTERNATIONAL makes no representations or warranties of any kind, express or implied, regarding the use or the results of this Website in terms of its correctness, accuracy, reliability, or otherwise. ARPIN INTERNATIONAL shall have no liability for any interruptions in the use of this Website. ARPIN INTERNATIONAL disclaims all warranties with regard to the information provided, including the implied warranties of merchantability and fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of implied warranties; therefore the above-referenced exclusion is inapplicable.

3. Limitation of Liability

ARPIN INTERNATIONAL SHALL NOT be liable for any damages whatsoever, and in particular ARPIN INTERNATIONAL shall not be liable for any special, indirect, consequential, or incidental damages, or damages for lost profits, loss of revenue, or loss of use, arising out of or related to this web site or the information contained in it, whether such damages arise in contract, negligence, tort, under statute, in equity, at law, or otherwise, even if ARPIN INTERNATIONAL has been advised of the possibility of such damages. SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THEREFORE SOME OF THE ABOVE LIMITATIONS MAYBE INAPPLICABLE.

User agrees to indemnify and hold ARPIN INTERNATIONAL, its subsidiaries, affiliates, directors, officers, and employees, harmless from any claim or demand, including reasonable attorneys’ fees and costs, made by any third party due to or arising out of User’s use of the Website, the violation of this Agreement, or infringement by User, or other user of the Website using User’s computer, of any intellectual property or any other right of any person or entity.

5. Modifications and Interruption to Website

ARPIN INTERNATIONAL reserves the right to modify or discontinue the Website with or without notice to the User. ARPIN INTERNATIONAL shall not be liable to User or any third party should ARPIN INTERNATIONAL exercise its right to modify or discontinue the Website. User acknowledges and accepts that ARPIN INTERNATIONAL does not guarantee continuous, uninterrupted or secure access to our Website and operation of our Website may be interfered with or adversely affected by numerous factors or circumstances outside of our reasonable control.

6. Third-Party Sites

Our Website may include links to other sites on the Internet that are owned and operated by online merchants and other third parties. You acknowledge that we are not responsible for the availability of, or the content located on or through, any third-party site. ARPIN INTERNATIONAL makes no warranties or representations whatsoever with regard to any product provided or offered by any Vendor, and you acknowledge that any reliance on representations and warranties provided by any Vendor shall be at your own risk.

8. Governing Jurisdiction of the Courts of Rhode Island

Our Website is operated and provided in the State of Rhode Island. As such, we are subject to the laws of the State of Rhode Island, and such laws will govern this Terms of Use Agreement, without giving effect to any choice of law
rules. We make no representation that our Website or other websites are appropriate, legal or available for use in other locations. Accordingly, if you choose to access our site you agree to do so subject to the internal laws of the State of Rhode Island.

9. Compliance with Laws

User assumes all knowledge of applicable law and is responsible for compliance with any such laws. User may not use the Website in any way that violates applicable local, state, federal, or international laws, regulations or other government requirements. User further agrees not to transmit any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, federal, or international law or regulation.

12. Botnets

ARPIN INTERNATIONAL retains the right, at our sole discretion, to terminate any accounts involved with botnets and related activities. If any hostnames are used as command and control points for botnets, ARPIN INTERNATIONAL reserves the right to direct the involved hostnames to a honeypot, loopback address, logging facility, or any other destination at our discretion.

13. Other Terms

If any provision of this Terms of Use Agreement shall be unlawful, void or unenforceable for any reason, the other provisions (and any partially-enforceable provision) shall not be affected thereby and shall remain valid and enforceable to the maximum possible extent. You agree that this Terms of Use Agreement and any other Agreements referenced herein may be assigned by ARPIN INTERNATIONAL, in our sole discretion, to a third party in the event of a merger or acquisition or otherwise. This Terms of Use Agreement shall apply in addition to, and shall not be superseded by, any other written Agreement between us in relation to your participation as a User. User agrees that by accepting this Terms of Use Agreement, User is consenting to the use and disclosure of their personally identifiable information and other practices described in our Global Privacy Policy.

ARPIN GROUP, INC. TEXT MESSAGING TERMS OF USE

This Agreement is between you and ARPIN GROUP, INC. or one of its affiliates including, but not limited to, ARPIN INTERNATIONAL GROUP, INC. (collectively, ARPIN), with offices located at 4 Energy Way, West Warwick, Rhode Island 02893. All references to “we,” “our,” or “us” refer to ARPIN.

By “Opting In” to or using a “Text Message Service” (as defined below) from ARPIN, you accept these Terms & Conditions.

DEFINITIONS

“Opting In,” “Opt In,” and “Opt-In” refer to requesting, joining, agreeing to, enrolling in, signing up for, acknowledging, responding to, or otherwise consenting to receive one or more text messages.

“Text Message Service” includes any arrangement or situation in which we send one or more messages addressed to your mobile phone number, including text messages (such as SMS, MMS, or successor protocols or technologies).

CONSENTING TO TEXT MESSAGING

By consenting to receive text messages from us, you agreed to these Text Messaging Terms and Conditions, as well as to Arpin’s Global Privacy Policy https://www.arpinintl.com/privacy-policy/, which is incorporated herein by reference.

E-SIGN DISCLOSURE

By agreeing to receive text messages, you also consent to the use of an electronic record to document your agreement. You may withdraw your consent to the use of the electronic record by replying STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE.

ARPIN TEXT MESSAGE SERVICE PRIVACY POLICY

We respect your privacy. We only use information you provide through this service to transmit your mobile messages and respond to you. This includes, but is not limited to, sharing information with telecommunication platform providers, network carriers, phone companies, and other vendors who assist us in the delivery of mobile messages. Note that Carriers are not liable for any delayed or undelivered messages. Mobile information will not be shared with third parties for marketing or promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. Nonetheless, we reserve the right always to disclose any information as necessary to satisfy any law, regulation or governmental request, to avoid liability, or to protect our rights or property. This Text Message Service Privacy Policy applies to your use of the Text Message Service and is not intended to modify ARPIN’s GLOBAL PRIVACY POLICY, which may govern the relationship between you and us in other contexts.

COSTS OF TEXT MESSAGES

ARPIN does not charge you for the messages you send and receive via this text message service. However, message and data rates may apply, so depending on your plan with your wireless or other applicable provider, you may be charged by your carrier or other applicable provider.

FREQUENCY OF TEXT MESSAGES

This Text Messaging Service is for conversational person-to-person communication between you and our employees or personnel for purposes of providing the ARPIN services you have requested and agreed to receive. We may send you an initial message providing details about the service. Thereafter, the number of text messages you receive will vary depending on how you use our services and whether you take steps to generate more text messages from us (e.g., by sending a HELP request).

FOR HELP or OPTING OUT OF TEXT MESSAGES

If you are experiencing issues with our Text Messaging Service, text “HELP” for more assistance or contact us via the contact methods set forth below.

If you no longer want to receive text messages from ARPIN, you may reply to any text message with STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE. As a person-to-person communication service, opt-out requests are specific to each conversation between you and one of our employees or personnel and their associated phone number. After unsubscribing, ARPIN may send you confirmation of your opt-out via text message.
